1. General Terms
These Terms & Conditions constitute an electronic record between Panicle Tech and the user and do not require any physical, electronic or digital signature.
'User', 'you' or 'he/they' shall interchangeably mean any individual, entity or organisation that browses, visits, registers on or otherwise uses the website or any product.
These terms are to be read together with our Privacy Policy and Cookie Policy, which are incorporated into them by reference.
2. Eligibility
You must be competent to contract under the applicable law to use the products. The website and the products are not directed towards minors, and an account must not be created by or on behalf of a minor. Where you use a product on behalf of an organisation, you represent that you are authorised to bind that organisation to these terms.
3. Accounts
Each product has its own account and its own dashboard. There is no bundle requirement and no shared prerequisite: an account on one product is neither required for, nor grants access to, another.
You are responsible for the accuracy of the information supplied at registration, for keeping your credentials confidential, and for all activity that occurs under your account. Any unauthorised use must be reported to us at business@panicle.tech without delay.
4. The Products
Features described on this website reflect the products as they stand at the time of publication. We may add, change, restrict or discontinue any feature. Where a feature is marked 'Coming Soon' or 'Launching soon' it is not yet available, no date is promised, and nothing on this website constitutes a pre-order or a commitment to deliver it.
5. Authorised Use of SiteGuard and ServerPulse
This clause is a condition of use and not a formality. SiteGuard performs automated crawling and security auditing of the websites you add, and ServerPulse installs an agent that reads system state from the machines you add.
You are solely responsible for holding the authorisations described above, and you indemnify us against any claim arising from their absence. We may suspend or terminate an account on reasonable suspicion of a breach of this clause, without notice.
6. Your Provider Keys and Third-Party Models
ColadAI Chat operates on API keys you supply for third-party model providers such as Anthropic, OpenAI, Google or DeepSeek. Your use of those models is governed by the provider's own terms and pricing, and any charges the provider levies against your key are yours to bear.
Model output is generated by the third-party provider and is not reviewed by us. It may be inaccurate, incomplete or unsuitable for your purpose, and it must not be relied upon as professional advice. You remain responsible for anything you do with it.
7. Plans, Fees and Payment
Each product offers a free plan and one or more paid plans. Plan inclusions and prices are those stated on the Pricing page at the time of purchase, and are exclusive of taxes unless stated otherwise.
Payments are collected and processed by third-party payment gateway providers such as Razorpay. We do not collect or store your card, bank or UPI details. Those details are subject to the payment gateway provider's own privacy policy and terms, for which we are not liable.
Paid plans are billed in advance for the subscription period selected and, unless cancelled before the end of that period, renew for a further period of the same length. We may revise prices on reasonable notice, with the revision taking effect from your next renewal.
8. Refunds and Cancellation
You may cancel a paid plan at any time, and cancellation takes effect at the end of the period already paid for. Fees already paid are non-refundable except where required by applicable law, or where we are unable to provide a paid feature you were charged for. Refund requests should be sent to business@panicle.tech and are addressed within seven working days.

The website, the products, the ColadAI, SiteGuard and ServerPulse names and marks, and all software, design, text and graphics comprised in them are the intellectual property of Panicle Tech Pvt. Ltd. and are protected by applicable law. Nothing in these terms transfers any of that intellectual property to you.
Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the products for your own internal business purposes for the duration of your plan.
11. Your Data
Content, configuration and audit or monitoring data you put into a product remains yours. You grant us only the licence needed to host, process and display it in order to operate the product for you, and to comply with law.
Personal data is handled as described in our Privacy Policy. You are responsible for having the right to submit any data you place into a product, including data relating to your own users or customers.
12. Availability and Beta Features
We aim to keep the products available but do not warrant uninterrupted or error-free operation. Access may be suspended for maintenance, for upgrades, or for reasons outside our reasonable control.
Features described as beta, early access, launching soon or coming soon are provided as-is, may change or be withdrawn, and are excluded from any availability expectation.
13. Disclaimer of Warranties
The website and the products are provided on an 'as is' and 'as available' basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by applicable law.
In particular, an audit score, finding, alert or metric produced by SiteGuard or ServerPulse is diagnostic information and not a guarantee. A clean audit does not warrant that a website is secure, compliant or free of defects, and the absence of an alert does not warrant that infrastructure is healthy. Decisions taken on the basis of that information remain yours.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Panicle Tech shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill or data, arising out of or in connection with the website or the products.
Our aggregate liability arising out of or in connection with the products shall not exceed the amount actually paid by you to us for the product in question in the three months preceding the event giving rise to the claim.
15. Indemnity
You agree to indemnify and hold harmless Panicle Tech, its directors, employees and agents against any claim, demand, loss, liability or expense arising out of your use of the website or the products, your breach of these terms, or your violation of any law or of the rights of any third party.
16. Suspension and Termination
You may stop using a product and close your account at any time. We may suspend or terminate your access where you breach these terms, where required by law, or where continued access presents a risk to the products or to other users.
On termination, your right to use the product ceases immediately. We may delete account data after a reasonable period, and you are advised to export anything you wish to retain before closing an account.
17. Third-Party Links and Services
The website and the products may link to or integrate with services operated by third parties. We do not control those services, are not responsible for their content, availability or practices, and their terms and privacy policies apply to your use of them.
18. Changes to These Terms
We reserve the right to make changes, variations and modifications to these Terms & Conditions at any point of time. No separate intimation would necessarily be given about any changes. Users are advised to keep track of these terms, and continued use after a change constitutes acceptance of it.
19. Governing Law and Jurisdiction
These terms are governed by and construed in accordance with the laws of India. The courts at the registered office of Panicle Tech Pvt. Ltd. shall have exclusive jurisdiction over any dispute arising out of or in connection with them.
